The Securities and Exchange Commission (SEC) has approved the registration document for the planned business merger of Allwyn Entertainment and Cohn Robbins Holdings Corp. (CRHC). This approval clears the path for the amalgamation to proceed.

A prominent lottery company, Allwyn, encourages CRHC stakeholders to carefully examine the registration document and any pertinent materials submitted or to be submitted to the SEC prior to making any voting or investment choices concerning the merger.

A special assembly of CRHC stockholders is set for September 7, 2022, to vote on the authorization of the merger. However, the finalization of the merger depends on the endorsement from CRHC stockholders and the fulfillment or relinquishment of standard closing prerequisites.

Should the merger be ratified, the unified entity is projected to be listed on the New York Stock Exchange under the new ticker symbols “ALWN” for its Class B common stock and “ALWN.WS” for its warrants.

The CRHC board of directors has advised that all its stockholders vote “FOR” all propositions at the forthcoming meeting.

In a public declaration, the group emphasized the appealing characteristics of the worldwide lottery sector, such as substantial consumer engagement across a wide demographic, strength throughout market fluctuations, and expansion possibilities fueled by rising internet accessibility.

Allwyn, a lottery powerhouse headquartered in Austria, is making a significant impact on the massive international lottery sector. Their presence is firmly established across Europe, particularly in Austria, the Czech Republic, Greece, Cyprus, and Italy. They have excelled in both physical and digital sales, solidifying their position as a major player.

In a recent and noteworthy development, Allwyn emerged victorious as the top contender for the fourth license of the UK National Lottery. This is a monumental achievement, as they will succeed Camelot, the license holder for nearly thirty years!
